ELIGIBILITY AND HOW TO ENTER: To be eligible to win the Level5 VIP Shopping Spree (the “Sweepstakes”), individuals must be a member of the Level5 VIP Club. To join the VIP Club, visit the signup page on our website (https://www.level5tools.com/vip/). Individuals must have joined the VIP Club by 11:59 p.m. EST on December 31, 2024 to be eligible for the Sweepstakes. All VIP Club members will automatically be entered to win. As an alternative means of entry, individuals may also enter the Sweepstakes by mailing a postcard with their name, street address, city, state, zip code, daytime telephone number and email to Sponsor’s address set forth above, Attn: Customer Service, or emailing such information to customerservice@level5tools.com (each, a “Mail-in-Entry”). ALL MAIL-IN ENTRIES MUST BE POSTMARKED NO LATER THAN DECEMBER 31, 2024 AND RECEIVED BEFORE DECEMBER 31, 2024. Proof of mailing a Mail-in Entry is not considered proof of delivery or receipt. Sponsor is not responsible for any lost or misdirected Mail-in Entries. Illegible or incomplete Mail-in Entries and mechanically reproduced Mail-in Entries will be disqualified. Moreover, false, fraudulent or deceptive Mail-in Entries or acts shall render Mail-in Entry participants ineligible. This Sweepstakes is open only to legal residents of the U.S. over the age of 18. Employees of Sponsor and its affiliates, including Sponsor’s parent company, Worthington Enterprises, Inc., and their immediate family members (including spouse, parents, siblings, and children) are not eligible to participate in the Sweepstakes. Sponsor reserves the right to disqualify any person who violates these Official Rules or tampers with or abuses any aspect of the Sweepstakes as solely determined by Sponsor. All decisions made by Sponsor in connection with the Sweepstakes, including without limitation, decisions related to eligibility requirements, are final and binding.

WINNER SELECTION AND NOTIFICATION: On January 1, 2025, the Sweepstakes winner will be selected using a randomizer tool and notified via the email provided when signing up for the VIP Club or in the Mail-in Entry. The winner must acknowledge the email within 72 hours by either responding to the email or calling the phone number provided therein. If the email sent by Sponsor is returned as undeliverable, or a potential winner does not respond within 72 hours or otherwise cannot be contacted for whatever reason, the prize will be forfeited and Sponsor may randomly select an alternate winner. The winner must submit their name and image to Sponsor and grant Sponsor permission to post such information on its VIP Home Page and in other marketing materials.

PRIZE: The Sweepstakes winner will receive a single-use $5,000 coupon code (approximate retail value or “ARV”) that can be used only on Level5’s website (level5tools.com). Odds of winning the prize will depend on the number of entries, including Mail-in Entries, received. Purchases made with the coupon code will be eligible for free shipping if delivering to a location within the continental United States. The coupon code must be used within 12 months of receipt, and purchases must be used for personal use only (no resale). No retailer is a sponsoring partner of this Sweepstakes. The winner is responsible for any expense beyond the prize’s ARV, including any installation and utilization costs. The prize is subject to, and winner is responsible for, all applicable local, state and federal taxes.

AGREEMENT TO OFFICIAL RULES: Participation in the Sweepstakes constitutes entrants’ full and unconditional agreement to and acceptance of these Official Rules and the decisions of Sponsor, which are final and binding. Winning the Sweepstakes is contingent upon being compliant with these Official Rules and fulfilling all other requirements set forth herein.

GENERAL CONDITIONS: In the event that the operation, security, or administration of the Sweepstakes is impaired in any way, Sponsor may, in its sole discretion, either: (a) suspend, modify or terminate the Sweepstakes to address the impairment; or (b) award the prize from among the eligible entries received up to the time of the impairment. Sponsor reserves the right, in its sole discretion, to disqualify and seek damages from any individual who tampers with the operation of the Sweepstakes, violates these Official Rules, or acts in a disruptive, unethical or unsportsmanlike manner. Sponsor’s failure to enforce any provision of these Official Rules shall not constitute a waiver of that provision. Proof of sending any communication to Sponsor shall not be deemed proof of receipt of that communication by Sponsor. In the event of a dispute as to the owner of an online entry, the authorized account holder of the e-mail address used to enter will be deemed to be the owner. The Sweepstakes is subject to all federal, state, and local laws and regulations and is void where prohibited.

RELEASE AND LIMITATION OF LIABILITY: By participating in the Sweepstakes, you agree (1) that you have read and are bound by these Official Rules; (2) that you acknowledge and affirm you will at all times comply with all laws and regulations; and (3) to release and hold harmless Sponsor, its respective parents, subsidiaries, affiliates, and each of their respective officers, directors, employees, representatives and agents (the “Released Parties”) from and against any claim or cause of action arising out of participation in the Sweepstakes or receipt, use of or inability to use the prize, including but not limited to: (a) unauthorized human intervention in the Sweepstakes; (b) technical errors; (c) printing errors; (d) late or undelivered mail, communications, or notice; (e) errors in the administration of the Sweepstakes; (f) injury or damage to persons or property, including death; or (g) rights of publicity, defamation or portrayal in a false light, whether intentional or unintentional, whether under a theory of contract, tort (including negligence and/or fraud), warranty or other theory. You waive the right to claim any attorneys’ fees and any damages whatsoever, including, but not limited to, punitive, consequential, direct, or indirect damages. Except where prohibited, by accepting a prize, winner grants Sponsor a perpetual, worldwide, royalty-free license to use winner’s name and/or likeness without further authorization, compensation, or remuneration of any kind for advertising, promotion, and other publicity purposes.

SPONSOR’S USE OF INFORMATION: By joining the VIP Club and providing your name and email address, you grant Sponsor, its affiliates and its and their respective successors and assigns the right to use such information for sales and marketing purposes. DISPUTES: You agree that any and all disputes, claims and causes of action arising out of, or connected with, the Sweepstakes or any prize awarded shall be resolved individually, without resort to any form of class action, and exclusively by the appropriate court located in Columbus, Ohio. All issues and questions concerning the construction, validity, interpretation and enforceability of these Official Rules, your rights and obligations, or the rights and obligations of Sponsor in connection with the Sweepstakes, shall be governed by, and construed in accordance with, the laws of the State of Ohio, without giving effect to any choice of law or conflict of law rules (whether of Ohio or any other jurisdiction), which would cause the application of the laws of any jurisdiction other than Ohio.
